Equator End User License Agreement (EULA)

Effective Date: April 7, 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or the “User”) and Equator Ltd. (“Equator,” “we,” “our,” or “us”) regarding your use of the Equator platform, including our mobile application, website, software, and services (collectively, the “Platform”).

By downloading, accessing, or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

1. License

Equator grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for personal or internal business purposes in accordance with this Agreement.

2. User Content

You may submit or upload content to the Platform, including video, audio, text, and images (“User Content”). You retain ownership of your User Content. However, by submitting it, you grant Equator a worldwide, royalty-free, perpetual, sublicensable license to host, display, distribute, modify (for technical purposes), and promote your User Content as part of operating and improving the Platform.

You represent and warrant that:

• You own or have the necessary rights to share your User Content.

• Your content does not violate any third-party rights or laws.

• Your content does not contain illegal, defamatory, or hateful material.

We reserve the right (but are not obligated) to remove or restrict any content at our discretion.

3. Acceptable Use

You agree not to:

• Use the Platform for any unlawful or prohibited purpose.

• Interfere with the operation or security of the Platform.

• Access or attempt to access other users’ accounts or data.

• Reverse engineer, decompile, or attempt to extract source code.

• Use automated systems to scrape or interact with the Platform.

4. Privacy

Your use of the Platform is governed by our Privacy Policy, which describes how we collect, use, and safeguard your information.

5. Intellectual Property

All rights, title, and interest in and to the Platform (excluding User Content) are owned by Equator or its licensors. This includes software, design, trademarks, and all related intellectual property. You may not use, copy, or distribute any part of the Platform except as expressly permitted in this Agreement.

6. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” Equator makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be secure, uninterrupted, or error-free.

7. Limitation of Liability

To the maximum extent permitted by law, Equator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Platform.

8. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates this Agreement or is harmful to other users or to Equator.

9. Modifications

We may update this Agreement from time to time. If changes are material, we will notify you through the Platform or by other means. Continued use of the Platform after such updates constitutes your acceptance of the changes.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Delaware for any disputes arising out of this Agreement.
